PSY/OPS UNIFIED FONT LICENSE AGREEMENT

By installing, accessing, or using PSY/OPS Font Software, you agree to be bound by the terms of this Agreement.

1. License Scope

This license permits the purchasing individual or legal entity (“Licensee”) to use the Font Software to create and distribute design outputs (e.g., print, images, video, PDFs), provided that the Font Software itself is not distributed, shared, or otherwise made accessible to others as a standalone, usable font file.

The Font Software may not be uploaded to or made accessible through shared or cloud-based systems where it can be used by individuals or organizations beyond the Licensee.

Licenses are granted to a single legal entity. Parent companies, subsidiaries, affiliates, and other related organizations are considered separate entities and are not covered by this license. Each entity must obtain its own license for use of the Font Software. Multi-entity or enterprise-wide licensing can be arranged upon request.

The Licensee may not resell, sublicense, rent, lease, lend, or otherwise provide the Font Software to others except as expressly permitted in this Agreement.

All rights not expressly granted under this Agreement are reserved by PSY/OPS.

2. Desktop License

Upon purchasing a Desktop License, the Licensee may install and use the Font Software on their own computers and devices, including within design tools and general applications, to create and distribute outputs (e.g., print, images, video, non-editable PDFs), in accordance with the terms of this Agreement.

Text set in the Font Software may be converted to vector outlines and modified as part of design work. The Font Software itself may not be modified, reverse engineered, or further distributed.

3. Web License

Upon purchasing a Web License, the Licensee may use the Font Software for self-hosted deployment on websites and domains owned or controlled by the Licensee, provided the Font Software is not made accessible for download, extraction, or reuse outside those sites.

4. Omni License

Upon purchasing the Omni License, the Licensee may use the Font Software in expanded contexts including apps, e-books, games, digital products, interactive PDFs, video, broadcast, film, printed publications, packaging, physical products, and brand systems, including logos and wordmarks in commercial use.

5. Third-Party Work

The Licensee may use the Font Software to create work on behalf of clients or other third parties. However, the Font Software itself may not be transferred, sublicensed, or otherwise made available to those clients or third parties, who must obtain their own license for any continued use, modification, or implementation of the Font Software.

This includes, but is not limited to, delivery of font files within design files, templates, or other editable formats.

6. Termination

If the Licensee fails to comply with this Agreement, the license may be terminated. Upon termination, the Licensee must cease use of the Font Software and delete all copies in their possession or control.

PSY/OPS may, at its discretion, allow the Licensee to correct a breach by obtaining the appropriate license.

7. Liability

PSY/OPS provides the Font Software “as is” and does not guarantee compatibility with all systems, applications, or environments. While reasonable care has been taken in the creation and testing of the Font Software, variations in software, platforms, and user configurations may affect performance.

PSY/OPS is not responsible for technical issues arising from third-party software, operating systems, web browsers, or implementation methods beyond its control. When possible, PSY/OPS will make a reasonable effort to help address issues or provide guidance.

To the fullest extent permitted by law, PSY/OPS shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Font Software; however, this does not limit any rights that may not be excluded under applicable law.

If the Font Software is found to be defective, PSY/OPS may, at its discretion, provide a corrected version or replacement files.

Purchases are generally non-refundable, except where required by applicable law. PSY/OPS may, at its discretion, offer a refund, credit, or replacement where appropriate.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles, and any disputes arising under this Agreement shall be resolved in the state or federal courts located in California.

9. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Font Software and supersedes any prior agreements or representations.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
